EXHIBIT "A"

TOURNAMENT RULES

  1. The Tournament consists of a Texas Hold ‘Em Poker game. There is no consideration of any kind associated with this tournament other than the award of the Grand Prize. The tournament is for entertainment purposes, and is being run for fun only and for the determination of the Grand Prize Winner of the Contest.
    How To Play
    • Each player is dealt two cards ("hole cards") which belong only to that player. Five community cards are dealt face-up on the "board". All players may use these cards in conjunction with their own hole cards to make the best five-card poker hand possible.
    • In Hold 'Em, a disc also known as "the button", serves to indicate which player is the nominal dealer for the current game. Before the game begins, the player immediately clockwise from the button posts the "small blind", typically half a small bet. The player immediately clockwise to the small blind posts the "big blind", which is always a full small bet. Now, each player receives his or her two hole cards. Betting action proceeds around the table, starting with the player immediately clockwise to the big blind.
    • Players may now fold, check, call the big blind, or raise. In Limit games, the raise is limited to one small bet. In Pot Limit the maximum raise is the pot (the amount currently in the pot, plus his call), whereas in No Limit the maximum raise can be any amount of chips.
    • Now, the "flop" is dealt face-up on the board. The flop is the first three community cards available to all active players. Betting begins with the active player immediately clockwise the button. Again, in Limit games, all bets and raises at this point occur in small bets.
    • When betting action is completed for the flop round, the "turn" is dealt face-up on the board. The turn is the fourth community card in a Hold 'Em game. Betting begins with the active player immediately clockwise the button. On this round in Limit games, betting doubles from the small bet to the big bet.
    • When betting action is completed for the turn round, the "river" is dealt face-up on the board. The river is the fifth and final community card in a Hold 'Em game. Betting begins with the active player immediately clockwise from the button.
    • If there is more than one remaining player when the final betting round is complete, the last bettor or raiser shows his or her cards. If there was no bet on the final round, the player immediately clockwise the button shows his or her cards first. The player with the best five-card hand wins the pot. In the event of identical hands, the pot will be equally divided between the players with the best hands.
    • After the pot is awarded, a new game of Hold 'Em is ready to begin. The button now moves clockwise to the next player.
  2. The Tournament Rules allocated to each chip is that chip's denomination (ie, a $5 chip equals 5 points, a $10 chip equals 10 points, etc)
  3. Each Draw Prize Winner will select a seat at the Tournament table. First come, first served.
  4. A change of seat is not allowed after play starts, except as assigned by the Contest Sponsors.
  5. The appropriate starting amount of chips will be placed on the table for each Draw Prize Winner at the beginning of the Tournament, whether the Draw Prize Winner is present or not. Absent Draw Prize Winners will be dealt in, and all chips necessary for antes and blinds will be put into the pot.
  6. If a Draw Prize Winner is absent at the Tournament, at some point an effort will be made by the Contest Sponsors to locate and contact the Draw Prize Winner. If the Draw Prize Winner requests the chips be left in place until arrival, the request will be honored. If the Draw Prize Winner is unable to be contacted, the chips may be removed from play at the discretion of the Contest Sponsors anytime after a new betting level has begun or a half-hour has elapsed, whichever occurs first.
  7. A starting stack of chips can be placed in a seat to accommodate late Draw Prize Winners (so all antes and blinds have been appropriately paid). An unoccupied seat will have such a stack removed at a time left to the discretion of the Contest Sponsors.
  8. Limits and blinds are raised at regularly scheduled intervals.
  9. If there is a signal designating the end of a betting level, the new limits apply on the next deal. (A deal begins with the first riffle of the shuffle.)
  10. The lowest denomination of chip in play is removed from the table when it is no longer needed in the blind or ante structure. All lower-denomination chips that are of sufficient quantity for a new chip will be changed up directly. The method for removal of odd chips is to deal one card to a Draw Prize Winner for each odd chip possessed. Cards are dealt clockwise starting with the No. 1 seat, with each Draw Prize Winner receiving all cards before any cards are dealt to the next Draw Prize Winner. The Draw Prize Winner with the highest card by suit gets enough odd chips to exchange for one new chip, the second-highest card gets to exchange for the next chip, and so forth, until all the lower-denomination chips are exchanged. If an odd number of lower-denomination chips are left after this process, the Draw Prize Winner with the highest card remaining receives a new chip if he/she has half or more of the quantity of lower-denomination chips needed, otherwise nothing.
  11. An absent Draw Prize Winner is always dealt a hand, and is put up for blinds, antes, and the forced bet if low.
  12. A Draw Prize Winner must be present at the table to stop the action by calling "time."
  13. If a Draw Prize Winner is not present when it becomes his/her turn to act, his/her hand is dead. This includes situations in which a live blind is not present to act, since an absent Draw Prize Winner cannot exercise the option to raise.
  14. A Draw Prize Winner who declares all in and loses the pot, then discovers that one or more chips were hidden, is not entitled to benefit from this. That Draw Prize Winner is eliminated from the Tournament if the opponent had sufficient chips to cover the hidden ones. If another deal has not yet started, the Contest Sponsors may rule the chips belong to the Draw Prize Winner who won that pot, if that obviously would have happened with the chips out in plain view. If the next deal has started, the discovered chips are removed from the Tournament.
  15. If a Draw Prize Winner lacks sufficient chips for a blind or a forced bet, the Draw Prize Winner is entitled to get play with whatever amount of chips remains. A Draw Prize Winner who posts a short blind and wins does not need to make up the blind.
  16. All Draw Prize Winners must leave their seat immediately after being eliminated from the Tournament.
  17. Showing cards from a live hand during Tournament play injures the rights of other Draw Prize Winners still competing in the Tournament, who wish to see Draw Prize Winners eliminated. A Draw Prize Winner may not show any cards during a deal (unless the Tournament has only two remaining players). If a Draw Prize Winner deliberately shows a card, that hand may be ruled dead and the Draw Prize Winner penalized at the sole discretion of the Contest Sponsors.
  18. Inappropriate behavior like throwing cards that go off the table may be penalized at the sole discretion of the Contest Sponsors. A severe infraction such as abusive or disruptive behavior may be punished by eviction from the Tournament.
  19. The deck is not changed on request. Decks change at the sole discretion of the Contest Sponsors.
  20. For the purposes of this Tournament, the starting position of the dealer button will be determined by dealing for the high card.
  21. The dealer button remains in position until the appropriate blinds are taken. Draw Prize Winners must post all blinds every round. Because of this, the button may stay in front of the same Draw Prize Winner for two consecutive hands.
  22. In heads-up play with two blinds, the small blind is on the button.
  23. All hands are turned face up whenever a Draw Prize Winner is all in and betting action is complete.
  24. If two (or more) Draw Prize Winners go broke during the same hand, the Draw Prize Winner starting the hand with the larger amount of chips finishes in the higher Tournament place.
  25. Draw Prize Winners may not discuss hands until all gaming action is finished.
  26. All decisions by the Contest Sponsors pertaining to the Tournament are final, and are not subject to appeal.
